1. Overview

These Terms of Service ("Terms") govern your use of the PROOF by Innovato website (proofaiaccelerator.com) and related services operated by Innovato Consultancy ("we", "us", "PROOF"). By accessing this website, you agree to these Terms.

2. Program Description

PROOF is a 10-week AI accelerator program operated by Innovato Consultancy. The website provides information about the program, collects applications, and facilitates partner inquiries. Acceptance into the program is at our sole discretion.

3. Application Process

By submitting an application through our Typeform form, you:

• Confirm that all information provided is accurate and complete.
• Understand that submitting an application does not guarantee acceptance.
• Consent to the processing of your application data as described in our Privacy Policy.
• Acknowledge that you may be contacted for a selection interview.

Proof Track applications are evaluated on a cohort basis between announced application dates. Ignite Track applications are accepted on a rolling basis; accepted applicants may begin the program immediately upon completion of onboarding.

4. Program Terms

Accepted participants agree to:

• Proof Track participants (cohort-based): A 2% equity option, exercisable within 2 years of program completion, in exchange for program services. Additionally, PROOF reserves the right to invest at a 3% equity stake within the same 2-year period. Terms are formalized in a separate option agreement.
• Ignite Track participants (rolling admissions): A program fee of €2,500 (excluding VAT), payable upon acceptance before the program begins. No equity is taken.
• Enterprise & Academic participants: Terms, pricing, and scope are defined in a separate institutional agreement negotiated on a case-by-case basis.
• Active participation in weekly sessions and mentorship meetings.
• Adherence to the program methodology and sprint schedule.

Detailed program participation terms are provided in a separate agreement upon acceptance.

5. Intellectual Property

All content on this website, including text, design, graphics, and code, is owned by Innovato Consultancy and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Ventures and intellectual property created by program participants during PROOF remain the property of the participant, subject to the equity option arrangement (Proof Track) outlined in the program agreement.

6. Limitation of Liability

This website and its content are provided "as is" without warranties of any kind. Innovato Consultancy is not liable for any indirect, incidental, or consequential damages arising from the use of this website or participation in the PROOF program.

7. Governing Law

These Terms are governed by the laws of the European Union and the jurisdiction in which Innovato Consultancy is registered. Any disputes shall be resolved in the competent courts of that jurisdiction.

8. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the website after changes constitutes acceptance of the revised Terms.
